Software licenses negotiated with thousands of hospitals and healthcare organizations in all possible sectors; public, private, non-profit, for profit, County, City, State, Federal, Provincial, and Ministerial. Customers ranged from small critical access hospitals to
large multi-hospital organizations.

Often served as vendor’s point person for healthcare customer CEOs, CFOs, CIOs, HIT Directors, consultants and attorneys.

HIPAA Experience: Created Business Associate Agreement and Security Rule Agreement used by all United States MEDITECH customers for compliance with Health Insurance Portability and Accountability Act of 1996.

Financing and leasing: Advised and interacted with independent financing companies used by healthcare organizations in matters regarding leasing computer hardware and software packages as well as occasional bankruptcy matters involving common customers.

Established business relationship (prime vendor and distribution agreements) with top computer hardware and consulting vendors. Created national and international business distribution agreements and numerous component agreements.

Obtained and structured value-added resale agreements with all top computer hardware vendors for domestic and international markets.

Supervised outsourced trademark registration work in foreign countries.

Administered all aspects of creditor’s interest in customer (hospital) bankruptcy proceedings.

Researched, interpreted and advised management regarding United States and Canadian Federal, State and Provincial legislation.

Structured agreements for software license transfers associated with hospital divestitures and for complex hospital mergers and acquisitions.

Collaborated in restructuring internal processes and procedures necessary for compliance with Sarbanes Oxley regulations.

Advised executives and legal staffs of two partially-owned partner businesses, one in home health care industry and one in physician practice management industry.
